TO THE REGENTS OF THE UNIVERSITY OF CALIFORNIA
Renewal of Agreement, Harbor/UCLA Medical Center, Los Angeles Campus
The Committee recommends that the President be authorized to approve and execute
the revised Agreement between the County of Los Angeles, the Harbor/UCLA Medical
Foundation, Inc., and The Regents of the University of California, entitled the "Tri-
Partite Agreement," and to approve and execute any subsequent amendments,
modifications, or renewals thereto, provided the general intent and purpose of the
Agreement remain unchanged from those originally approved by The Regents. The
revised Agreement includes the following provisions:

- This Agreement will supersede the Agreement entitled "Tri-Partite Agreement
Among County of Los Angeles, The Regents of the University of California, and
Harbor General Hospital Medical Group," dated September 5, 1969, and the
related
"Interim Memorandum of Understanding (Tri-Partite Agreement)," dated
January 15, 1980, except for physician patient care inpatient and outpatient
services
with service dates at Harbor/UCLA Medical Center prior to July 1, 1991. The
new
Agreement will be effective retroactive to July 1, 1991, and thereafter it will
coincide with the term of the affiliation agreement between the County of Los
Angeles and The Regents, entitled "Medical School Operating Agreement."

- Each party to this Agreement must designate in writing a person who shall have the
authority to administer the Agreement on behalf of the party.
- (3)
- The County, in selecting members of the professional staff of the Harbor/UCLA
Medical Center, will continue to give due consideration to selecting physicians
who
hold faculty appointment at UCLA and who have been favorably recommended by
the Dean of the UCLA School of Medicine and by the appropriate department
head
of the Harbor/UCLA Medical Center.

- The Harbor/UCLA Medical Foundation, Inc. (Foundation) shall bill and collect fees
for physician services ("professional fees") provided to County inpatients and
outpatients who receive care in the following Harbor/UCLA Medical Center
departments: Anesthesiology, Emergency Medicine, Family Medicine,
Medicine, Neurology, Obstetrics/Gynecology, Pathology (excluding Clinical Pathology), Pediatrics,
Psychiatry, Radiology, and Surgery.

- The Foundation shall reimburse the County for all the County's direct and indirect
costs related to this Agreement.
- (6)
- After making payments due to the County, and after deducting Foundation administration
expenses, the Foundation shall pay to the University all funds remaining from
Foundation billing and collection for physician professional fees
- (7)
- Funds paid to the University must be used first to defray salaries and benefits for
faculty members of the University serving at the Harbor/UCLA Medical Center or
to provide for the University's academic and educational programs at the
Harbor/UCLA Medical Center. If any funds remain, they may be made available
by the University for directly related capital improvements or other projects at the
Harbor/UCLA Medical Center which have been specifically approved in writing by
the County and by the University.
